Osborne Clarke’s Financial Technology team advises on Coalition sale
6 Jul 2012
Osborne Clarke has advised the founders of Coalition Development Limited (Coalition), a leading analytics and business intelligence provider to the global financial services industry, on Coalition's sale to a subsidiary of CRISIL, an Indian-based subsidiary of Standard & Poor's.
Coalition will become part of CRISIL’s Global Research & Analytics (GR&A) business and boost its service offerings and diversify its client base.
Thomas Colmer, Osborne Clarke, said:
"This is our fifth FinTech deal in 2012 so far. The fact that we are the legal adviser of choice for many in the industry speaks volumes about the strength and breadth of our practice. One of the key benefits for our clients is our level of experience in managing transactions with significant US and Indian elements."
Trevor Foster-Black, CEO of Coalition commented:
“This was a transformational deal for us. OC guided us through the complex international negotiations with good humour and patience and played a key part in bringing the transaction to a successful close."
Thomas Colmer led the transaction, assisted by Mathias Loertscher and Prashant Mara and Ranjini Ghose of OC's India desk. Sheppard Mullin Richter & Hampton LLP, led by Linda Giunta Michaelson, provided US assistance. Marlin & Associates were exclusive financial adviser to the sellers.
On 27 June 2012 at the prestigious Lawyer Awards OC was awarded the accolade TMT (Technology Media and Telecoms) Law Firm of the Year, the legal industry’s most coveted prize for TMT, recognising the volume and quality of OC’s TMT work during 2011/12, which made it one of the most active legal advisers to the sector. The Lawyer Awards recognise ‘innovation, execution and sheer intellectual firepower’ in the profession and are judged by a panel of legal professionals from the corporate sector and the Bar.
